SUMMARY:

Corporations, partnerships and limited liability companies; name change; title records and fees. Clarifies provisions of the corporations (stock and nonstock), partnership and limited liability company statutes concerning circuit court clerk filing and recordation of name-change certificates issued by the Virginia State Corporation Commission. Name changes resulting from a merger or conversion to a new business form (e.g., conversion from corporation to limited liability company) are recorded to reflect a business entity's new name in the chain of title of property held by the entity. This bill directs that the name-change certificates be recorded in the deed books as per Va. Code § 17-60, and it establishes a uniform $10 fee for recording such documents.
