SUMMARY:
Exemptions from registration requirements of Securities Act. Exempts from the securities, broker-dealer and agent registration requirements of the Securities Act any offer or sale of securities in a transaction involving the sale by an issuer to not more than 35 persons in the Commonwealth during any period of 12 consecutive months, whether or not the issuer or any of the purchasers are then present in the Commonwealth, if the issuer reasonably believes that all the purchasers in the Commonwealth are purchasing for investment, and if the securities have not been offered to the general public by advertisement or general solicitation.
