SUMMARY:

Limited liability companies. Amends Limited Liability Company (LLC) Act provisions authorizing the continuation of an LLC's business following the dissociation of an LLC's member. The bill also (i) authorizes a professional limited liability company registered pursuant to § 54.1-3902 to serve as a registered agent of a stock or nonstock corporation, (ii) lists the various persons authorized to serve as registered agents of LLCs, and (iii) incorporates provisions addressing the free transferability and continuity of life characteristics of LLCs. The amendments concerning free transferability and continuity of life reflect recent amendments to U.S. Internal Revenue Service (IRS) regulations and IRS revenue rulings relaxing the unanimity requirements of these characteristics.
