SUMMARY:

Corporations; required officers. Amends provisions in the Stock Corporation Act and Nonstock Corporation Act to require that a corporation have such officers as may be provided for in its bylaws or as stated in a resolution of the board of directors that is not inconsistent with the bylaws (and as necessary to meet filing requirements). Under current law, such corporations are required to have a president and a secretary.
