Be it enacted by the General Assembly of Virginia:

1. That the Code of Virginia is amended by adding a section numbered 55-510.01 as follows:

§ 55-510.01. Action of the board of directors.

Except to the extent that the declaration provides otherwise, and notwithstanding the provisions of the Virginia Nonstock Corporation Act (§ 13.1-801 et seq.), no board of directors may take any action that has not been approved during a meeting held pursuant to the provisions of § 55-510.1.
