Be it enacted by the General Assembly of Virginia:
1. That §§ 13.1-1055 and 50-73.57 of the Code of Virginia are amended and reenacted as follows:
§ 13.1-1055. Changes and amendment.
If any statement in the application for registration of a foreign limited
liability company was false when made or any arrangements or other facts
described have changed, making the application inaccurate in any respect, the
foreign limited liability company shall promptly file with the Commission a
certificate correcting such statement accompanied by a copy of the document, if
any, effecting the correction or change duly authenticated by the proper
officer Secretary of State or other official having custody of the limited
liability company records in the state or other jurisdiction of its formation.
§ 50-73.57. Changes and amendments.
If any statement in the application for registration of a foreign limited
partnership was false when made or any arrangements or other facts described
have changed, making the application inaccurate in any respect, the foreign
limited partnership shall promptly file with the Commission a certificate,
executed by a general partner, correcting such statement, accompanied by a copy
of the document, if any, effecting the correction or change duly authenticated
by the proper officer Secretary of State or other official having custody of
the limited partnership records in the state or other jurisdiction of its
formation. The certificate may take the form of an amended and restated application
for registration.
